Assistant General Counsel - Private Bank 

Citizens Bank, N.A. is looking for a highly motivated, problem solving and results-oriented attorney to support its growing and dynamic Private Banking business. The primary initial focus will be on commercial and PE/VC lending product support for funds, high net-worth individuals and families and their businesses, while also providing support as needed on all private banking products, services and operations, collaborating with other Citizens legal subject matters experts, internal clients and operational support colleagues. The vision for the role is to grow to be the go-to trusted legal adviser for all Private Bank business initiatives and client-facing opportunities.

Job Location: This position will be based in Boston, New York City, Johnston, RI, Westwood, MA or California. Limited travel.

 Primary Responsibilities:

  • Trusted advisor on Private Bank client-facing products with a focus on PE/VC partner financing, commercial lending, asset-backed lending, and deposit-based and family office-oriented customer products and services.
  • Work closely with management, functional partners, operations and legal colleagues on new initiatives including third party platform-based strategies, problem solving and escalated customer issues.
  • Facilitate lending transactions in close coordination with internal clients and operations as well as oversee issue resolution with outside deal counsel.
  • Monitor changes to legal and regulatory landscape and research, analyze and provide sound legal advice on legal and compliance matters related to existing and evolving financial products and services.
  • Serve as trusted advisor to business, Risk, Compliance and other functional partners on initiatives, strategic planning, contract interpretation/negotiation, internal audit and regulatory exam support and dispute resolution.
  • Manage external counsel when approved to support a particular project.

Qualifications:

  • JD or equivalent, strong academic credentials and admission to at least one U.S. bar required.
  • 10 years of law firm or in-house experience.
  • Familiarity with banking and lending products supporting high net worth clients and PE/VC funds and principals, including consumer and commercial lending products, deposits and/or investments.
  • Familiarity with the consumer banking regulatory environment and secured transactions under the UCC.
  • Familiarity with branch operations matters and third-party strategic contracting.

  • Ability to work as a highly collaborative team player with a positive attitude, growth mindset, good sense of humor and ability to stay calm under pressure.
  • A background in commercial lending.
